Listing Policy

This Listing Policy (the "Policy") outlines the terms and conditions under which sellers ("Partners") may list their products ("Products") on Yakura's Platform. By listing a Product with Yakura, the Partner agrees to be bound by the terms set forth in this Policy and the Yakura Terms of Use, which govern the use of the Platform. This Policy applies to all listings, whether created manually by the Partner or as part of a promotion agreement.

Yakura reserves the right to amend or update this Policy from time to time. Partners will be notified of any significant changes. All changes will be effective immediately upon posting, unless otherwise specified.

This Policy supplements and should be read in conjunction with the Terms of Use. In the event of any conflict between the terms of this Listing Policy and the Terms of Use, the Terms of Use shall prevail. Both the Listing Policy and the Terms of Use are binding on all Partners who wish to list Products on the platform.

ELIGIBILITY TO LIST PRODUCTS

In order to list a Product on Yakura's Platform, Partners must meet specific eligibility criteria. The Partner must have full legal rights to offer and sell the Product, including the necessary rights to any intellectual property (IP) associated with the Product. This includes holding all required licenses, certifications, or permissions for the sale of the Product.

Furthermore, only Products that comply with applicable laws and regulations will be accepted for listing. Yakura reserves the right to reject any Products that are deemed unlawful, harmful, offensive, or otherwise inconsistent with the Platform's standards. Partners are also required to provide accurate, truthful, and complete information when listing a Product. Any misrepresentation or fraudulent listing may result in removal from the Platform and potential legal action.

THE LISTING PROCESS

To list a Product, the Partner must submit a comprehensive Product listing to Yakura, which includes all relevant information such as the Product description, price, terms of sale, product images, and any promotional materials. Once submitted, Yakura will review the listing to ensure that it complies with the guidelines set forth in this Policy and the Terms of Use.

Yakura retains the right to approve or reject any Product listing based on its content, accuracy, and compliance with Platform requirements. If the listing is approved, it will be made available for sale or promotion on Yakura's Platform. However, Yakura also reserves the right to periodically review active listings and remove any Product that no longer complies with this Policy or fails to meet quality standards.

The Partner is also responsible for keeping their listings up-to-date. If any changes occur, such as pricing adjustments or product modifications, the Partner must immediately update the listing to reflect these changes. Any new or updated information is subject to Yakura's review and approval.

PRICING AND PAYMENT TERMS

The pricing of Products listed on Yakura must be clear, accurate, and transparent. The Partner is responsible for determining the price of their Products and ensuring that all applicable taxes, fees, and charges are included in the listed price. Yakura may charge the Partner a fee for listing a Product on its Platform, and the Partner is required to agree to these fees before listing any Product.

Yakura may facilitate payments for Products purchased through its Platform. In such cases, Yakura will collect payments from customers and remit the agreed-upon amount to the Partner, subject to any applicable fees. The Partner is solely responsible for ensuring that the price listed for the Product is correct at the time of listing and throughout its availability on the Platform.

In cases where the Partner is required to charge taxes on the sale of their Product, they must ensure that the applicable tax rates are applied and comply with all relevant tax laws. Yakura is not responsible for handling any tax obligations the Partner may have, and the Partner agrees to indemnify Yakura for any tax liabilities arising from their Product sales.

PROHIBITED PRODUCTS

Yakura strictly prohibits the listing of certain types of Products. The following Products are not permitted on the Platform:

  • Illegal Products: Products that are unlawful in any jurisdiction, including those that promote or facilitate illegal activities, are prohibited.
  • Counterfeit Goods: The sale of counterfeit products, including those that infringe on third-party trademarks or copyrights, is not allowed.
  • Malicious Software: Products that contain or distribute viruses, malware, or any other harmful code that could damage or interfere with the Platform or customer devices are strictly prohibited.
  • Offensive or Harmful Content: Any Products that include hate speech, discriminatory language, or promote violence, harassment, or illegal activities will be removed from the Platform.

In addition, any Product that violates intellectual property rights, including patents, trademarks, or copyrights, will be subject to immediate removal from Yakura's Platform. Yakura reserves the right to take further action, including reporting the violation to the appropriate authorities or legal bodies.

LISTING TERMINATION AND SUSPENSION

Yakura retains the right to remove or suspend any Product listing at its discretion, particularly in cases of non-compliance with this Policy or the Terms of Use. Reasons for removal or suspension may include, but are not limited to:

  • Failure to Comply with this Policy: If a Product listing fails to meet the requirements set forth in this Policy or the Terms of Use, Yakura may suspend or remove the listing.
  • Product Violation: If a Product is found to infringe upon intellectual property rights, violate applicable laws, or pose a threat to the security or integrity of the Platform, it will be removed.
  • Non-Delivery of Products: If the Partner fails to fulfill orders or otherwise fails to meet their obligations in delivering the Product to customers, Yakura may suspend or remove the listing.
  • Security Threats: If a Product poses a security risk to users or the Platform itself, Yakura may take immediate action, including suspending or removing the listing.

In the event that a listing is removed or suspended, the Partner will be notified, and they may request a review of the decision. Any appeal must be submitted in writing to Yakura's support team, and Yakura will consider the appeal on a case-by-case basis.

INTELLECTUAL PROPERTY RIGHTS AND LICENSING

By listing a Product on Yakura's Platform, the Partner affirms that they have the legal right to offer the Product for sale, including any necessary rights to the intellectual property (IP) associated with the Product. This includes ensuring that the Product does not infringe upon the IP rights of any third party.

The Partner grants Yakura a limited, non-exclusive license to use, display, and distribute the Product listing, along with any associated promotional materials, as necessary to promote and sell the Product on the Platform. This license is revocable only upon termination of the Product listing.

If the Partner's Product contains third-party IP, the Partner must have the appropriate licenses or permissions to use such IP. Yakura reserves the right to request proof of such licenses or permissions and may remove any listing that violates IP laws.

The Partner is responsible for providing adequate support and maintenance for the Products they list on Yakura's Platform. This includes responding to customer inquiries, resolving issues with the Product, and ensuring the Product remains functional and up to date.

In addition, the Partner must provide a clear and reasonable return, refund, and warranty policy for the Product. Yakura may assist with processing refunds or returns in accordance with the Platform's policies, but the Partner remains ultimately responsible for the quality and support of the Product they offer.

If any issues arise with the Product or its functionality, the Partner is required to resolve these issues promptly. Any failure to maintain the Product or respond to customer complaints could result in suspension or removal of the Product listing.

PROMOTION AND MARKETING

Partners are encouraged to use Yakura's promotional tools to market their Products. These may include using social media, email campaigns, and ads to increase visibility and attract customers. However, all promotional materials must comply with Yakura's guidelines, ensuring they are truthful, accurate, and not misleading.

The Partner is prohibited from using unfair or deceptive marketing practices, such as making false claims about the Product or its capabilities. All promotional materials must accurately represent the Product and adhere to any applicable laws or regulations governing advertising practices.

COMPLIANCE WITH LAWS AND REGULATIONS

The Partner agrees to comply with all applicable laws and regulations, including data protection and consumer protection laws. The Partner is solely responsible for ensuring that their Product and listing comply with any and all legal requirements in the jurisdictions where the Product is offered.

In particular, the Partner must ensure that the handling of customer data complies with privacy laws such as the General Data Protection Regulation (GDPR) or the California Consumer Privacy Act (CCPA), as applicable. The Partner must also comply with any local tax laws, intellectual property laws, and export controls.

AMENDMENTS TO THE LISTING POLICY

Yakura reserves the right to amend or update this Listing Policy at any time. Any changes will be effective immediately upon posting on the Platform. The Partner is encouraged to review this Policy regularly to ensure compliance with any changes. Continued listing of Products after amendments are made constitutes acceptance of the updated Policy.
