Referral Policy

Welcome to the Referral Program (the "Program") offered by Yakura (the "Company," "we," "us," or "our"). By participating in this Program, you (the "Referrer" or "you") agree to be bound by the terms and conditions outlined in these Referral Program Terms and Conditions (the "Terms"). The Program allows you to refer new customers (the "Referred Customer") to Yakura's products and services, and in return, you will receive a Referral Reward for each successful referral that meets the criteria specified herein. Your participation in this Program is subject to the Company's Terms of Use, Privacy Policy, and any other applicable policies. We encourage you to carefully review these Terms, as they govern your participation in the Program.

To be eligible to participate in the Program, you must be an existing customer of the Company. Businesses and other organizations are prohibited from using the Program for lead generation purposes, and only individuals may participate. Furthermore, you must be at least 18 years old and have a valid account with Yakura to participate. The Company reserves the right, at its sole discretion, to disqualify or deny participation to any individual or entity that fails to meet these requirements or engages in prohibited conduct as defined in these Terms. The Program is not available where prohibited by law.

Upon acceptance into the Program, you will receive a unique Referral Link that allows you to promote the Company's products and services. The Referral Link will be used to track purchases made by Referred Customers who click on the link. You may share the Referral Link through various marketing channels, including but not limited to social media platforms, websites, blogs, email campaigns, and other digital means. You may not alter, modify, or manipulate the Referral Link in any way, and you must ensure that it accurately reflects your status as a Referrer. The Referral Link must be used solely in accordance with the terms set forth in these Terms and cannot be used for any illegal or unethical activities.

A "Referred Customer" is defined as an individual or entity who has never made a purchase on the Company's platform and who uses your Referral Link to make a purchase for the first time. The Referred Customer and the Referrer cannot be the same individual. The Referred Customer must not have previously made a purchase or created an account with the Company. Any attempt to use multiple accounts or engage in fraudulent activities to refer oneself or any other unauthorized behavior will result in immediate termination from the Program, and any rewards earned will be forfeited.

As a Referrer, you are eligible to earn a Referral Reward for each successful referral that results in a Qualified Purchase by a Referred Customer. A Qualified Purchase is defined as a purchase made by a Referred Customer through your Referral Link, where the transaction is completed, and the payment has been successfully processed. The Referral Reward will be credited to your account in the form of credits, discounts, or other compensations, as specified in the Program. The Company reserves the right to adjust the value of the Referral Reward at any time. The Referral Reward will be credited only after the Referred Customer's purchase has been verified, and any applicable refund or chargeback period has expired.

As part of the Program, the Referred Customer will typically receive a discount on their first purchase after clicking on your Referral Link. The discount may vary and is subject to change at the Company's discretion. The discount will be applied at the time of checkout, and the Referred Customer must meet all eligibility requirements to qualify for the discount. The Company reserves the right to change, modify, or cancel any discount or promotion associated with the Program at any time.

The Company may impose limitations on the number of Referral Rewards that can be earned within a specified period, including but not limited to limits on the number of referrals a Referrer can make per month or year. Additionally, the Referral Reward is only applicable to new customers, and repeated purchases by the same Referred Customer will not result in additional rewards. The Company reserves the right to review and adjust the terms of the Program, including limiting or restricting certain actions that may be deemed ineligible or abusive.

The Company reserves the right to terminate or suspend your participation in the Program at any time, for any reason, including but not limited to violations of these Terms, unethical practices, or fraudulent behavior. Upon termination, any outstanding Referral Rewards that have been earned up to that point will be paid according to the terms of the Program. However, if you have engaged in fraud or violation of the Program terms, any earned rewards will be forfeited. You may also terminate your participation in the Program at any time by notifying the Company in writing, subject to the terms of the Program.

The Company reserves the right to amend or modify these Terms at any time, with or without prior notice. Any changes to these Terms will be effective upon posting to the Company's website or through other communication channels. Continued participation in the Program after such amendments constitutes your acceptance of the updated Terms. It is your responsibility to review these Terms periodically for any changes.

Any attempt to abuse the Program, including self-referring, engaging in deceptive marketing practices, or generating fake or fraudulent leads, will result in immediate termination from the Program. The Company may, at its sole discretion, withhold or revoke any Referral Rewards that have been earned through such fraudulent activities. You agree not to engage in or promote any conduct that could harm the integrity of the Program or the Company's reputation. If you are found to be in violation of these terms, the Company reserves the right to take legal action and recover any damages arising from the abuse.

You agree to comply with all applicable local, state, and national laws, regulations, and industry standards in your marketing efforts. This includes but is not limited to compliance with the CAN-SPAM Act, data protection regulations such as the GDPR and CCPA, and any other laws that govern online marketing and referral programs. You must ensure that all promotional activities are truthful, ethical, and do not mislead or deceive customers in any way. You also agree not to engage in marketing practices that could harm the reputation of the Company or its products.

You agree to maintain the confidentiality of any proprietary or sensitive information that you receive during your participation in the Program, including but not limited to the Company's marketing materials, business plans, and customer data. You will not share, disclose, or use such information for any purposes other than those explicitly authorized by the Company. This confidentiality obligation will remain in effect even after your participation in the Program ends.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY'S LIABILITY TO YOU IN CONNECTION WITH THE PROGRAM SHALL BE LIMITED TO THE AMOUNT OF REFERRAL REWARDS ACTUALLY EARNED BY YOU THROUGH THE PROGRAM. THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, LOSS OF BUSINESS, OR LOSS OF DATA RESULTING FROM YOUR PARTICIPATION IN THE PROGRAM. THE COMPANY MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE AVAILABILITY OF THE PROGRAM OR THE ACCURACY OF TRACKING DATA.

You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, agents, and affiliates from any claims, actions, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising from your participation in the Program, including but not limited to your breach of these Terms, your promotional activities, or your violation of applicable laws. This indemnification obligation will survive the termination of this Agreement.

You are solely responsible for all taxes and other charges that may be incurred as a result of your participation in the Program, including any applicable local, state, or federal taxes on the Referral Rewards you earn. The Company will provide you with any necessary documentation for tax reporting purposes, but it is your responsibility to ensure that you comply with all tax obligations. If required, the Company may withhold taxes from your Referral Rewards as mandated by law.

This Agreement shall be governed by, and construed in accordance with, the laws of the Province of Ontario, Canada, without regard to its conflict of laws principles. The parties agree that any legal action or proceeding under or in connection with this Agreement shall be subject to the jurisdiction of the courts located in Toronto, Ontario, and the parties hereby consent to the exclusive jurisdiction and venue of such courts.
